1. Eligibility

You must be at least eighteen (18) years old, or the age of majority in your jurisdiction, to access or use the Website. By using the Website, you represent and warrant that you meet this requirement.

You must be a resident of the United States of America to use the Website.

2. Account Registration and Authentication

To access certain features of the Website, you must create an account and authenticate through the AkatoshLabs central authentication service.

Authentication may require:

• An email address and password; or
• A one-time password (OTP) delivered via a supported communication method.

You agree to:

• Provide accurate, current, and complete registration information;
• Maintain the confidentiality of your account credentials; and
• Accept responsibility for all activities that occur under your account.

AkatoshLabs reserves the right to suspend or terminate accounts that are compromised, misused, or found to be in violation of these Terms.

3. Free Service and Abuse Prevention

AkatoshLabs may offer free access or free-tier services to new users at its discretion.

You agree not to abuse such offerings, including but not limited to:

• Creating multiple accounts to gain repeated access to free services;
• Using automated tools, scripts, or other mechanisms to bypass usage limits; or
• Circumventing technical or administrative safeguards.

AkatoshLabs reserves the right to investigate suspected abuse and to suspend or permanently terminate accounts without notice.

4. Acceptable Use

You agree to use the Website only for lawful purposes and in accordance with these Terms. You must not:

• Interfere with or disrupt the Website or its infrastructure;
• Attempt to gain unauthorized access to systems or data;
• Reverse engineer, copy, or exploit any portion of the Website except as expressly permitted.

AkatoshLabs may modify, suspend, or discontinue any part of the Website at any time without liability.

This section does not prohibit your use of automation features that AkatoshLabs provides as part of the service, such as AutoHaul, when used as intended.

5. User-Submitted Content

5.1 Photographs and Images

You may submit photographs (such as recipe images) through the Website or mobile application. By submitting a photograph, you:

• Represent and warrant that you own the photograph or have the right to submit it;
• Grant AkatoshLabs a non-exclusive, royalty-free, worldwide, perpetual license to use, display, reproduce, and modify the photograph to operate and improve the service; and
• Consent to AkatoshLabs analyzing the photograph's metadata (including EXIF data such as geolocation, device model, and capture date) to provide location-based features and improve service quality.

Your consent is recorded at the time of submission and stored for audit purposes. You may request deletion of your submitted photographs by contacting us.

5.2 Other User Content

Other content you submit (such as shopping list data, dietary preferences, and recipe interactions) is used solely to provide and improve the service. AkatoshLabs does not claim ownership of your content but requires a license to use it as described above.

5.3 Collaborative Shopping Lists

You may choose to share a shopping list with others by generating an invite link ("collaborative sharing"). If you enable sharing, anyone who has the link can view the shopping list's contents and check items off in real time, without needing an account. You are solely responsible for who you share an invite link with, and you should only share lists that you are entitled to share. You may stop sharing at any time, which disables the link for new participants.

6. Food Recipes and Generated Content Disclaimer

The Website may generate food recipes, cooking instructions, or related content.

You acknowledge and agree that:

• All food-related content is provided for informational and entertainment purposes only;
• Actual results may vary based on ingredients, equipment, preparation methods, and individual skill; and
• AkatoshLabs is not responsible for the real-world results of any food recipes generated through the Website, including but not limited to taste, quality, safety, dietary suitability, or allergic reactions.

You are solely responsible for applying appropriate food safety practices and dietary judgment.

7. Virtual Currency (“Bolts”)

7.1 Description of Bolts

“Bolts” are a virtual, non-transferable digital currency issued by AkatoshLabs and used solely to access or pay for services provided by AkatoshLabs.

Bolts:

• Have no cash or monetary value;
• Are not legal tender;
• Cannot be redeemed, exchanged, or converted into U.S. dollars or any other currency; and
• Are non-transferable and non-resellable.

7.2 Purchase of Bolts

Bolts may be purchased only through AkatoshLabs-authorized systems. Acquisition of Bolts through unauthorized means is prohibited.

AkatoshLabs reserves the right to modify Bolt pricing, availability, and usage requirements at any time.

7.3 Refund Policy

AkatoshLabs offers a refund window of fifteen (15) business days from the date of Bolt purchase, subject to the following conditions:

• Unspent Bolts may be eligible for refund within the refund window.
• Bolts that have been expended are not eligible for refund, unless the user provides a reasonable justification.
• Determination of refund eligibility and justification reasonableness is made solely at AkatoshLabs' discretion.

AkatoshLabs reserves the right to refuse refunds if Bolts were purchased through fraudulent, abusive, or deceptive means.

7.4 Fraud and Abuse

Fraudulent activity related to Bolts, including chargebacks or refund abuse, may result in:

• Forfeiture of Bolts;
• Denial of refunds;
• Suspension or termination of the associated account; and
• Additional actions as permitted by law.

7.5 Changes to the Bolts Program

AkatoshLabs may modify, suspend, or discontinue the Bolts program at any time, including changes to refund terms or usage rules.

8. Third-Party Services and Affiliate Programs

8.1 Third-Party Services

AkatoshLabs may integrate or rely on third-party services (“Third-Party Services”) as part of its operations.

AkatoshLabs does not control and is not responsible for:

• Third-Party Services availability or performance;
• Third-party content, products, or services; or
• Any damages arising from interactions with Third-Party Services.

Use of Third-Party Services may be governed by separate terms and policies.

8.2 Affiliate Relationships

AkatoshLabs may participate in affiliate programs and may receive referral fees or other compensation from third-party partners.

Affiliate relationships:

• Do not imply endorsement unless expressly stated; and
• Do not impose additional obligations on users beyond these Terms.

8.3 No Additional Cost to Users

Unless explicitly stated, affiliate relationships do not result in additional charges imposed by AkatoshLabs. Any fees charged by third parties are governed solely by third-party terms.

8.4 Limitation of Liability for Third Parties

AkatoshLabs disclaims all liability arising from affiliate transactions or third-party products and services. Any disputes are solely between you and the applicable third party.

8.5 Sponsored Content and Advertising

The Service may display paid sponsored content, including sponsor brand names presented within recipe and shopping-list ingredients (for example, a brand shown as part of an ingredient name in place of a generic name). Sponsored placements are identified by a "Sponsored" disclosure.

A sponsored placement is advertising, not an endorsement. It does not mean that AkatoshLabs, any recipe author, or any third party recommends the product, or that the specific product is required — you may use any brand or substitute you prefer. Sponsor and third-party brand names, logos, and trademarks are the property of their respective owners, and their display does not imply any affiliation with, or endorsement by, those owners. AkatoshLabs may receive compensation for these placements.

8.6 AutoHaul and Retailer Services

AutoHaul may interact with supported retailer websites and services at your direction to help search for items, prepare carts, and support related shopping workflows. Retailer websites, accounts, product availability, prices, substitutions, checkout rules, order placement, delivery, pickup, returns, and retailer policies are controlled by the applicable retailer.

You are responsible for reviewing cart contents, prices, substitutions, fees, delivery or pickup details, and any final purchase before completing checkout. AkatoshLabs is not responsible for retailer site changes, retailer account issues, product availability, price changes, substitutions, checkout failures, or purchases completed through a retailer.

We may update, suspend, limit, or disable AutoHaul support for a retailer when site changes, service conditions, account requirements, or reliability concerns affect the feature.

9. Intellectual Property

All content, software, trademarks, and materials on the Website are owned by or licensed to AkatoshLabs and protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Website for personal, non-commercial purposes.

10. Disclaimer of Warranties

The Website is provided on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by law, AkatoshLabs disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

AkatoshLabs does not warrant uninterrupted or error-free operation.

11. Limitation of Liability

To the fullest extent permitted by law, AkatoshLabs shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of the Website or reliance on generated content.

12. Indemnification

You agree to indemnify and hold harmless AkatoshLabs and its affiliates from any claims, damages, liabilities, or expenses arising from:

• Your use of the Website;
• Your violation of these Terms; or
• Your violation of applicable law or third-party rights.

13. Termination

AkatoshLabs may suspend or terminate your access to the Website at any time, with or without notice, for any reason, including violation of these Terms.

Upon termination, your right to use the Website will immediately cease.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which AkatoshLabs is incorporated, without regard to conflict of law principles.

15. Changes to These Terms

AkatoshLabs reserves the right to update or modify these Terms at any time. Continued use of the Website after changes become effective constitutes acceptance of the revised Terms.

16. SMS and Electronic Communications

By creating an account or providing your mobile phone number, you consent to receive electronic communications from Akatosh Labs, including emails and SMS messages. SMS messages are used solely for authentication and transactional purposes, such as one-time passcodes, account notifications, shopping list status updates, and transaction confirmations.

Message delivery is subject to network availability and carrier limitations. Akatosh Labs does not guarantee the delivery or timeliness of SMS messages and is not responsible for delays, failures, or message loss.

You may opt out of SMS messages at any time by replying STOP. For assistance, reply HELP or contact help@akatoshlabs.com.
